AudicomPendax General sales and delivery regulations

Applicability

These General Terms and Conditions shall be applicable and included in the agreements between AudicomPendax, hereinafter referred to as the AP, and any other party, hereinafter referred to as the Customer, for the supply of goods and services. The provisions can only be amended by written agreement between the parties. If other provisions are agreed between the parties, these apply mutatis mutandis. In cases where any situation is not governed by these terms, NLM02 shall be applied in such parts.

Conclusion of the agreement

These General Terms and Conditions shall be applicable and included in the agreements between AudicomPendax, hereinafter referred to as the AP, and any other party, hereinafter referred to as the Customer, for the supply of goods and services. Scope of delivery

Offered prices are valid for one month unless otherwise stated. Agreements have been concluded only when the AP has given the customer written order confirmation or when both parties have signed the agreement.

Delivery location, delivery time

Delivery place is stated in order confirmation or agreement and is done ex-factory or free warehouse unless otherwise agreed. AP assures insurance of the goods. The customer is obliged to report any transport damage to transport companies and insurance companies. Delivery time is stated in order confirmation or agreement and refers to full weeks. The time is counted from the day-signature of order confirmation or signing of an agreement.

Delivery inspection

If the parties have agreed on inspection, this shall be effected within 14 days after delivery / AP notified the delivery (partial delivery) for inspection. The AP shall always be given an opportunity to attend the inspection and AP shall be submitted to the inspection report within one week after the completed inspection.

Prices

Prices quoted are from factory or free warehouse, excluding taxes, special packaging and taxes. Changes in exchange rates, commodity prices and taxes entitle AP to the corresponding price changes.

Payment and default interest

If credit is granted, 10 days will apply to invoice unless otherwise agreed. Due to the maturity of the invoice, default interest will expire by 8% above the Riksbank's reference rate at any given time. For larger and customer-specific commitments, performance-related payment plans apply as per individual agreement.

Cancellation of orders

Cancellation of orders is not accepted unless otherwise agreed in writing. 

Customer solvency

If the customer has been bankrupt, initiated a settlement, canceled his payment or otherwise assumed that the purchase price can not be properly paid, AP will hold delivery until sufficient security has been given or canceled or canceled, in whole or in part, if the customer does not provide sufficient security for the agreement fulfillment. Non-security is not allowed as AP may approve. AP is entitled to cancel the purchase and receive reasonable compensation for costs incurred. If the insolvency of the customer causes AP not to receive full payment for goods, AP's warranty commitment expires in accordance with item 14. The AP does not have any obligation either to repair the goods, deliver new goods or issue any damages.

Customer delay

If AP has not received payment within 10 days after the due date, AP is entitled to in addition to late interest referred to in item 7 above, include partial delivery, cancellation or cancellation of the agreement in whole or in part. If the customer fails to order the goods not later than one week after delivery according to item 4, AP has the right to charge rent for storage, etc. If the customer delays the agreed delivery time, AP has the right to charge interest for the entire order amount as per item 7. 

Drawings and descriptions

AP reserves the right to modify models and descriptions. All drawings and technical documents or parts thereof submitted by the AP to the customer remain the property of AP. Without AP's consent, these may not be used by the customer or copied, reproduced, disclosed or otherwise brought to the attention of third parties. All drawings and technical descriptions for the manufacture of the goods or part thereof, which the customer has handed over to the AP, remains the property of the customer. Without the customer's consent, these may not be used by the AP or copied, reproduced, disclosed or otherwise brought to the attention of third parties.


Assembly / Installation

If the parties have agreed on assembly, delivered goods may be stored in premises that are locked in a safe manner and with keys available to AP. Clients are responsible for theft and damage to the site, which causes delivered goods and tools. Customers shall ensure that there is access to electricity and lighting in the affected premises and that these are arranged so that assembly can be done efficiently during normal working hours and that other work does not prevent or obstruct installation. Client responds that equipment can be transported to the respective premises in a normal manner without special means. If the assembly can not happen as a result, AP is entitled to charge time, extra travel and other related costs. Any reminder of completed assembly shall be immediately effected and subsequently confirmed in writing to the customer within seven days. The assembly is carried out by the AP's installers on the terms of the offer and only after installation instructions from the AP and may not be performed without written agreement between the customer and the AP, which deviates from the instructions. Any alteration work will be charged extra. If the execution of the premises differs from the documents provided in such a manner that the installation is complicated or increased, AP is entitled to charge the customer for additional costs incurred. AP is not responsible for damage to delivered goods caused by abnormal humidity or abnormal temperature changes in premises designated by the customer. When working more than three meters above the floor, cost is charged for position or the position is provided by the customer. Cables are placed in another channel's channel or alternatively clamped outside, the channel can be barred and provided with wire. Barriers to channelization are not included in fixed price but are charged as extra time. For electrical installations, EIO's general delivery regulations apply. In the case of another contractor mounted thyristor must be connected to the remote control panel, this thyristor must be fully connected in place in connection with the relay cabinet. A Booked time that can not be used is charged in full, including the time that can not be used for any other chargeable time.

Ev. Waiting time is fully charged as extra time.

Ownership reservation

The property remains the property of AP until it has been fully paid and until its customer fulfilled all other obligations. Transfers or other connections are not considered as payment until fully redeemed. Ownership also applies as long as the AP has a claim for unpaid compensation for repairs, maintenance or other measures relating to equipment. If the customer does not fulfill his obligations, AP is entitled to reimburse the equipment at the expense of the customer without charge and without notice. Until its ownership has passed to the customer, the customer undertakes to properly care for the goods and not, without the written consent of the AP, to make changes thereto.

Warranty and Returns

The AP undertakes to remedy defects in manufacturing or material free of charge for one year from the date of delivery. Remedies must be made within a reasonable period of time from the customer's claim as a result of the error. When exercising the warranty, AP is entitled to repair the goods or deliver new goods at its option. The warranty does not include consumables - such as lamps etc. Repair is performed at AP or at AP designated location. The customer is responsible for all costs of getting the item to the repair site and the AP delivers the product, free of charge, in return. Delivered goods may not be returned without prior approval by AP.

Force majeure

The following circumstances shall be deemed to be force majeure and entitle to a corresponding extension of the delivery period if they occur before the delivery date. Labor dispute, labor shortages, defects or delays from subcontractors, and any other circumstances that the AP can not afford, such as fire, war, mobilization or unforeseen military incentives of equivalent scope, requisition, seizure, currency restrictions, commodity price, call or riots, shortage of means of transport and restrictions on driving power. If AP refers to circumstances referred to above, the AP shall without delay notify the Customer of its occurrence and its termination.

Limitation of Liability

AP's liability is limited to the above. The customer is not entitled to further compensation. The Customer is not entitled to compensation for property damage, unless the AP is guilty of gross negligence.

Private customers

Private customers are covered by the Consumer Purchase Act.
